Terms and Conditions

1. General Agreement

By submitting a registration application, making a payment for any of our Services, or entering a reference number from one of our renewal notification letters, you authorise us (Summit Startup Services Pty Ltd, trading as Business Registration Australia) or our designated representatives to act on your behalf in the following capacities:

  • As a registered tax agent for ABN, TFN, GST, and PAYG applications.
  • As an ASIC-registered agent for business name and company registrations and renewals.
  • As an agent for domain name registration, liaising with the domain registrar on your behalf.

Submitting an application or making a payment does not guarantee successful registration or renewal. If your application requires manual review by ASIC or the ATO, processing times may be extended, and approval is not guaranteed. While we strive to resolve any issues, we cannot ensure all objections will be successfully overturned. If your application is unsuccessful, we will cancel it and issue a refund, deducting a reasonable service fee.

2. Business and Company Name Registrations

Company and business name availability checks rely on the ASIC Name Availability Register. We are not responsible for errors within the ASIC system, including downtime or inaccuracies. We do not guarantee the registrability of a chosen business or company name. If your selected name is unavailable at the time of submission, you will be notified to select an alternative. We are not liable for any losses incurred due to name unavailability.

If the ASIC Register is temporarily inaccessible, we may manually submit your application, though this means we cannot verify name availability beforehand. Should your chosen name be unavailable, you may either:

  • Select an alternative name, or
  • Receive a full refund minus an administration fee.

If ASIC requires additional documentation to verify name eligibility and you fail to provide the requested information within the specified timeframe, your application may be discontinued.

The registration of a business name, company name, or domain name does not prevent third parties from:

  • Registering a similar or identical trademark.
  • Registering a similar business or company name.
  • Using a similar name as an unregistered trademark.

If you request us to cancel a registered business name, we must be recorded as your ASIC agent before proceeding. If ASIC rejects the cancellation request, we will notify you and await further instructions. We are not liable for any consequences resulting from the cancellation of your business name.

By making any payment in connection with a business name registration or renewal, you declare and represent to us that:

  • (a) You are the applicant (the proposed or existing business name holder); or you are lodging the application on behalf of the applicant with the applicant's permission;
  • (b) You are authorised to submit this application for lodgement on behalf of the applicant under the terms and conditions of the ASIC Electronic Lodgement Protocol;
  • (c) You are not disqualified from managing corporations under section 206B(1) of the Corporations Act 2001; and within the last 5 years you have not been convicted of, or released from prison after being convicted of and serving a term of imprisonment for, any of the criminal offences referred to in section 32(1)(c) or (d) of the Business Names Registration Act 2011;
  • (d) To the best of your knowledge, the information supplied to us is complete and accurate. It is an offence to provide false or misleading information to ASIC.

3. ABN, GST, PAYG, and TFN Registrations

To use our TFN registration services, you must be a legally eligible company.

  • We begin processing your application immediately upon submission.
  • We do not provide tax advice regarding whether you should register for an ABN, TFN, GST, or PAYG.
  • If immediate electronic processing with the ATO is unavailable, we will manually submit your application.
  • The ATO may require up to 28 days to process certain applications, and in some cases, you may receive direct correspondence from the ATO.

An ABN application may be rejected due to reasons including but not limited to:

  • Mismatch of information with ATO records.
  • Duplicate ABN or TFN applications.
  • System processing issues at the ATO.

If your ABN is rejected, we will contact you to explore alternative options. If you opt not to proceed, we will issue a refund minus the administration fee.

If you apply for both an ABN and a business name but the ABN is declined, the business name application will also be cancelled.

If your business is sold, ceases operation, or undergoes structural changes, you should cancel your ABN. We can facilitate ABN cancellations, but you must ensure all relevant government lodgments and payments are completed before cancellation. Cancelling an ABN will result in automatic termination of related registrations (e.g., GST, PAYG, Luxury Car Tax, Fuel Tax Credits).

We are not liable for any loss incurred due to ABN cancellations, including the automatic cancellation of associated registrations.

4. Business Name Renewal Services

4.1 Nature of Our Renewal Service

Our business name renewal service is a private, commercial service independent of ASIC. We are not ASIC and this service is not an ASIC notice. You are not required to use our service to renew your business name β€” you may renew directly with ASIC at any time.

By making a payment for a business name renewal through our Website, or by entering a reference number from one of our renewal notification letters and completing payment, you acknowledge and agree that:

  • (a) The renewal services offered by us are retail business name renewal services which are independent of ASIC;
  • (b) You understand that our fees include both the ASIC government fee and our service fee for managing the renewal process on your behalf;
  • (c) You may renew your business name directly with ASIC if you prefer;
  • (d) You will not engage a second ASIC Registered Agent or pay ASIC directly to perform the same renewal once you have engaged us. Doing so may cause the renewal to be blocked by the ASIC system, preventing us from completing the renewal service you engaged us to perform.

4.2 Renewal Processing & Timing

ASIC processes business name renewals within 30 days of the business name's expiration date ("Renewal Window"). If you make payment before the Renewal Window opens, we will hold your payment and submit the renewal to ASIC automatically once the Renewal Window opens.

You will receive your Record of Registration via email within 7 business days of the renewal being processed by ASIC (and no longer than 14 business days), provided the ASIC system allows us to complete the renewal.

If we are unable to renew your business name with ASIC for any reason, we will notify you and offer either:

  • An alternative resolution, or
  • A refund in accordance with our Refund Policy.

4.3 Renewal Notification Letters

We may send you renewal notification letters by physical post, email, or SMS to the contact details we hold on file. These notifications are sent as a courtesy reminder and are not ASIC notices. They are not bills and no payment is required.

We send notification letters via Australia Post with the intention that they are received in a timely manner. However, we cannot control exactly when Australia Post physically delivers your notification letter and we are not liable for any delays in postal delivery.

By making a payment in response to a renewal notification letter, you:

  • (a) Appoint us as your ASIC Registered Agent for the purpose of managing the renewal of the business name(s) specified in the notification;
  • (b) Authorise us to lodge the renewal application with ASIC on your behalf;
  • (c) Authorise us to receive your Record of Registration from ASIC on your behalf and provide it to you digitally;
  • (d) Acknowledge that the notification letter was sent by a private service provider and not by ASIC.

4.4 Discount Codes & Promotional Offers

From time to time, we may include discount codes or promotional offers in our renewal notifications. These codes:

  • (a) Are valid only until the date specified in the notification or on the Website;
  • (b) Cannot be combined with other offers unless expressly stated;
  • (c) May be withdrawn or modified at any time without notice;
  • (d) Apply only to the services and renewal terms specified.

4.5 Your Responsibilities

It is your responsibility to ensure that your business name is renewed before its expiration date. We are not liable for any loss or damage, however arising, which may be caused in the event of a business name being cancelled by ASIC due to non-renewal, whether or not you have received a renewal notification from us.

You must:

  • (a) Ensure your contact details are up to date so that we can send renewal notifications to the correct address;
  • (b) Not rely solely on our renewal notifications β€” we recommend you track renewal deadlines independently;
  • (c) Notify us immediately if you have already renewed your business name through another service or directly with ASIC.

4.6 Opt-Out of Renewal Communications

If you do not wish to receive renewal notifications from us, you may opt out at any time by:

  • Visiting business-registration.com.au/opt-out
  • Calling us on 02 8359 8347 during business hours (Mon–Fri, 9am–5pm AEST)
  • Replying STOP to any SMS we send you

Once you opt out, we will cease sending you renewal notifications. Please allow up to 14 business days for your opt-out request to be fully processed.

5. Company Annual Reviews

When you engage us for company annual review services, you agree to the following:

  • (a) Registered Agent Appointment: By selecting our annual review service, you appoint Summit Startup Services Pty Ltd as your company's Registered Agent (ASIC Agent No. 52205).
  • (b) Our Responsibilities: As your Registered Agent, we will receive official correspondence from ASIC on your behalf, notify you of upcoming annual review dates and any required actions, and assist in the preparation and lodgement of necessary documents.
  • (c) Your Obligations: You are responsible for providing accurate and up-to-date information, notifying us promptly of any changes to company details, ensuring timely payment of ASIC fees and our service charges, and paying for any late fees or additional ASIC fees that may arise separately.
  • (d) Termination: You may terminate our appointment as Registered Agent at any time by providing written notice. Upon termination, you are responsible for notifying ASIC and appointing a new Registered Agent.
  • (e) Liability: We are not liable for any penalties, fees, or damages resulting from your failure to provide accurate information or to act upon our communications in a timely manner.

6. SMS and Electronic Communications

By engaging our services, you acknowledge and agree that:

  • (a) You may receive text messages (SMS/MMS) to the mobile number you have provided, including responses to inquiries, service updates, renewal reminders, and account notifications;
  • (b) You may opt out of SMS communications at any time by replying STOP or by contacting us via our Contact Page;
  • (c) We and our telecommunications carriers are not liable for delayed or undelivered messages;
  • (d) Standard message and data rates from your mobile carrier may apply;
  • (e) We will not send you marketing SMS without your prior consent.

Fees and Payment

7. Fees

Our Services typically require upfront payment. Unless otherwise stated, all fees are in Australian dollars and include GST where applicable.

  • Services such as ABN registration and business name renewal involve a one-time fee, payable upon submission of application forms or entry of a reference number.
  • Our renewal fees include the ASIC government fee (charged GST-free) and our service fee (inclusive of 10% GST).
  • When selecting credit card as your payment method, you authorise us to charge your card when payment is due.
  • We will not lodge your application with ASIC until you pay all relevant fees and charges.
  • Some Services may be provided free of charge, but we reserve the right to introduce fees with at least 30 days' written notice.
  • Subscription Services incur ongoing monthly or annual fees, payable in advance. We review these fees annually.
  • Failure to pay fees within the specified period may result in restricted access or downgrade of your subscription.
  • If you disagree with fee amendments, you must notify us in writing within 10 days. You may terminate your subscription and receive a refund of any prepaid fees.

8. Refunds

Our Services come with guarantees under the Australian Consumer Law (ACL). If Services are provided with an unacceptable level of care and skill, unfit for purpose, or not delivered within a reasonable time, you may cancel and receive a refund.

Registration Services: You may receive a full refund if you withdraw an application before we initiate the registration process, subject to an administration fee. If your registration is unsuccessful, you are entitled to a full refund less any non-refundable ASIC fees already paid on your behalf.

Renewal Services: Refunds for renewal services are available as follows:

  • (a) If you request a refund before we have submitted your renewal to ASIC and before your Renewal Window opens, you may receive a refund less an administration fee of $55 (to cover notification, administration and bookkeeping costs);
  • (b) No refund will be issued if we have already submitted your renewal to ASIC or if ASIC has processed the renewal;
  • (c) Refunds do not include any third-party fees (including ASIC registration or renewal fees) which we have already incurred on your behalf;
  • (d) Refunds are issued to the original payment method used.

We may offset any amounts we owe you against amounts you owe us.

Liability and Disclaimers

9. Limitation of Liability

To the extent permitted by law, we exclude liability for:

  • Any loss due to delays, rejections, or processing errors.
  • Business interruptions or financial losses.
  • Third-party system failures, including ASIC and ATO downtime.
  • Intellectual property disputes related to logos or website designs.
  • Any loss or damage caused by the cancellation of a business name due to non-renewal, whether or not a renewal notification was sent or received.
  • Any loss arising from your failure to read, understand, or act upon our renewal notifications.

We are not liable for reminding you of service renewals. While we endeavour to send timely renewal notifications, we do not guarantee that notifications will be received. It remains your responsibility to ensure renewals are completed on time.

10. Invoicing

  • You are responsible for invoicing accuracy.
  • We do not process transactions between you and your customers.
  • Any payment disputes must be resolved directly with your customers.

Third-Party Products and Services

If you use third-party services (e.g., hosting providers), we are not responsible for any loss arising from such use. We do not guarantee compatibility or interoperability with third-party services.

Accuracy of Information

We provide our Website, Content, Documents, and Services "as is." While we strive for accuracy, we do not guarantee completeness, reliability, or timeliness.

Website Availability

We do not guarantee uninterrupted access to our Website and Services. We may suspend access for maintenance, system failures, or other reasons beyond our control.

Privacy

Our Privacy Policy applies to any personal information we collect. By accepting these Terms, you:

  • Consent to the collection, use, storage and disclosure of your personal information as described in our Privacy Policy.
  • Consent to the disclosure of your personal information overseas in accordance with our Privacy Policy.
  • Acknowledge that we are not accountable under the Privacy Act 1988 (Cth) for overseas disclosure.
  • Acknowledge that if you engage our renewal services, we may collect your business name details, contact information and business registration information from publicly available registers for the purpose of providing renewal notifications and services.

Indemnity

You indemnify us against any claim or demand, including legal fees, arising from:

  • Your breach of these Terms.
  • Your infringement of intellectual property rights.
  • Your use of an ABN, Business Name, company name, domain name, trademark, or any tax registration obtained through our Services.
  • Any incorrect reading or misunderstanding of our renewal notifications or marketing material.

Limitation of Liability

To the extent permitted by law:

  • We exclude liability for indirect, special, or consequential losses.
  • Our liability is limited to re-supplying the Services or the cost of having them supplied again.
  • You are responsible for ensuring that your Business Name, domain name, trademark, or company name does not infringe third-party rights.

Third-Party Sites

We may provide links to third-party websites. We are not responsible for their content or legality.

Termination

We may terminate your access if you materially breach these Terms and fail to remedy the breach. You may terminate Services by providing 30 days' prior written notice.

Modification

We may amend these Terms at any time. Continued use of our Services constitutes acceptance of any updates. If you do not agree, you may terminate your Services with 14 days' written notice and receive a pro-rata refund.

General

These Terms are governed by the laws of Queensland, Australia. Any invalid provision does not affect the remaining Terms. These Terms constitute the entire agreement between you and us regarding our Services.
